**Solace Companion LLC - Terms and Conditions**

 **1. Introduction**

Welcome to Solace Companion LLC ("Company," "we," "our," or "us"). By subscribing to our personalized companion service ("Service"), you ("Customer," "you," "your") agree to be bound by the following terms and conditions ("Terms"). These Terms govern your access to and use of the Service, where you receive a personalized AI companion based on the information you provide.

**2. Description of Service**

The Service allows you to subscribe to receive a personalized AI companion via a dedicated phone number. The companion emulates a person based on information you provide, including but not limited to personality traits, voice, and conversational topics.

**3. Customer Responsibilities**

- **Accuracy of Information**: You agree to provide accurate, current, and complete information when subscribing to the Service. This information is used to create the AI companion and must reflect the individual you wish to emulate. Solace Companion is NOT a replacement for individual care, users should be monitored at all times to ensure safety and wellbeing. If users experience agitation or other negative feeling or emotions, stop using the tool immediately. 
 
- **Prohibited Use**: You may not use the Service for any illegal, harmful, or unethical purposes. This includes but is not limited to using the Service to harass, defraud, or deceive others.

- **Age Requirement**: The Service is intended for users who are 18 years of age or older. By subscribing, you confirm that you meet this age requirement.

**4. Privacy and Data Use**

- **Data Collection**: The Company collects and processes personal data you provide to create the AI companion. This includes but is not limited to name, voice recordings, and personality descriptions.
 
- **Data Security**: We implement reasonable security measures to protect your data from unauthorized access, use, or disclosure. However, we cannot guarantee absolute security.

- **Data Use**: The data provided will be used solely for the purpose of creating and maintaining the AI companion. We will not sell, rent, or share your data with third parties without your explicit consent, except as required by law.

**5. Intellectual Property**

- **Service Content**: All content provided through the Service, including but not limited to the AI companion’s responses, voice, and software, is the intellectual property of Solace Companion LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.

- **Customer Content**: By providing information to the Service, you grant the Company a non-exclusive, royalty-free, worldwide license to use, reproduce, and adapt the information as necessary to provide the Service.

 **6. Disclaimer of Warranties**

- **Service "As-Is"**: The Service is provided on an "as-is" and "as-available" basis. We make no warranties or representations, express or implied, regarding the Service's operation, accuracy, completeness, or reliability.

- **No Guarantee**: We do not guarantee that the Service will meet your expectations or that it will be uninterrupted, secure, or error-free.

**7. Limitation of Liability**

- **No Liability**: To the fullest extent permitted by law, Solace Companion LLC shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or related to your use of the Service, even if advised of the possibility of such damages.

- **Cap on Liability**: In any event, our total liability to you for any claims arising from the Service shall not exceed the amount paid by you to the Company for the Service in the twelve (12) months preceding the claim.

 **8. Termination**

- **Termination by You**: You may terminate your subscription at any time by contacting customer support. No refunds will be provided for any subscription fees paid.
 
- **Termination by Us**: We reserve the right to suspend or terminate your access to the Service at our discretion, without notice, if we believe you are in violation of these Terms or any applicable laws.

**9. Modifications to Terms**

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

**10. Governing Law and Dispute Resolution**

- **Governing Law**: These Terms are governed by and construed in accordance with the laws of the state in which Solace Companion LLC is incorporated, without regard to its conflict of law principles.

- **Dispute Resolution**: Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
